01 About Linkfloo

Linkfloo is a customer relationship management (CRM) software tool engineered specifically for real estate professionals, independent brokers, and property agency teams. It helps you record leads and properties, organize follow-up cadences, log calls and communications, and collaborate with your team, including while operating completely offline.

We may add or change features over time, including related specialized products such as Linkfloo PG Manager and Linkfloo Homes, which may have supplemental or specific terms.

02 Eligibility

You must be at least 18 years old and legally competent to enter into a binding contract under Indian law (including the Indian Contract Act, 1872). If you access or use the Services on behalf of a partnership firm, agency, or corporate enterprise, you represent and warrant that you hold full legal authorization to bind that entity to these Terms.

03 Your Account & Team Members

• Accurate Details: You must provide accurate, complete information during verification or registration and keep your account details current.
• Security: You are responsible for all activity conducted under your account and for keeping your device, phone numbers, and OTP authentication credentials secure.
• Notice of Breach: Notify us immediately at linkflooteam@gmail.com if you suspect unauthorized access or compromised device credentials.
• One Person Per Account: Accounts are provisioned for single-seat usage. You must not share individual login sessions or verification tokens.

Organizations and Team Members

• An agency or brokerage organization can have designated administrators and team members who join via an organization invite code.
• The organization administrator controls who joins the workspace and their respective permissions. Data entered by team members may be visible to others in the same organization according to workspace roles and configurations.
• If you invite team members, you are responsible for ensuring that all invited individuals abide by these Terms.
• If you leave or are removed from an organization, you will forfeit access to data and lead histories belonging to that organization.

04 Your Data & Content Ownership

• Ownership: You (or your organization) retain exclusive ownership of all content and records you input into Linkfloo, including leads, buyer requirements, property details, photos, notes, and messages ("Your Content"). We claim no ownership over your client book or property assets.
• Licence to Us: You grant us a limited, worldwide, non-exclusive licence to host, store, delta-sync, back up, display, and process Your Content solely as necessary to deliver, protect, and improve the Services and comply with applicable laws.
• Your Responsibility: You confirm that you possess all requisite rights, titles, and permissions to upload Your Content and that it infringes no third-party rights or applicable regulations.
• Data Privacy: How we store and handle account data is detailed in our Privacy Policy. We will never sell your client lists or listing inventories to competing brokers or external marketing vendors.

05 Your Clients' Personal Data: Your Responsibilities

When you enter information regarding leads, buyers, tenants, owners, or other individuals, you act as the entity determining why and how that data is used (Data Fiduciary/Controller), and Linkfloo only processes that information on your behalf. You expressly agree that:

1. You will collect and process client data lawfully, obtaining consent or having another legitimate reason where the law requires, including under India's Digital Personal Data Protection Act, 2023 (DPDPA).
2. You will only reach out to individuals in ways that comply with the law. This includes strictly honoring the Telecom Commercial Communications Customer Preference Regulations (TRAI DND / NCPR registries) and refraining from transmitting unsolicited commercial spam or bulk messages.
3. You will not use Linkfloo to harass, threaten, defraud, or deceive any customer or lead.
4. You will independently honor and respond to requests from individuals who seek to access, correct, or delete their personal contact records.
5. You will not record or upload sensitive personal information (such as Aadhaar numbers, bank account passwords, or financial credentials) unless strictly lawful and required.

We bear no responsibility for how you use your customer records or initiate contact with your leads.

06 Acceptable Use Policy

You agree that you will not:

• Violate any applicable central, state, or municipal law, or infringe third-party privacy or intellectual property rights.
• Publish, circulate, or advertise false, misleading, fraudulent, or unlawful property listings.
• Upload viruses, malicious code, or attempt to gain unauthorized entry into the Services, other accounts, or server infrastructure.
• Reverse engineer, decompile, copy, extract schemas, resell, or create competing products from the App, its local Drift/SQLite database, or its source code.
• Scrape, crawl, or extract bulk data from the Services by automated means.
• Overload, disrupt, or bypass the security boundaries or rate limits of the Services, including the Website’s early access form.
• Use the Services to transmit spam or harvest contact data of other users.
• Use the Services for any unauthorized purpose outside legitimate, lawful real estate business.

We reserve the right to suspend or remove content or user accounts that we reasonably believe violate these rules.

07 Property Information & Third-Party Services

• Accuracy: Property specifications, prices, configurations (BHK), carpet area, and availability in Linkfloo are entered directly by users. We do not inspect or verify listings, and do not guarantee they are accurate, legal, or available. You are solely responsible for verifying title ownership, municipal approvals, and Real Estate (Regulation and Development) Act (RERA) compliance.
• No Professional Advice: Nothing contained within the Services, generated PDF property sheets, or auto-calculations constitutes legal, financial, architectural, taxation, or investment advice.
• Phone, WhatsApp, and External Apps: The App routes phone calls through your device's native carrier dialer (tel:) and assists in opening third-party platforms like WhatsApp. Those external services are operated independently and governed by their own terms and carrier charges. Linkfloo is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta Platforms.
• External Links: The Services may link to third-party web pages. We hold no responsibility for their content or terms.

08 Offline Use & Data Synchronization

Linkfloo stores your operational data directly on your device's local database (Drift/SQLite) and reconciles it with cloud servers when an internet connection is established. You understand and agree that:

• Modifications completed while offline will only reflect across your team members' devices after your device reconnects and syncs successfully.
• If the same property or lead record is edited concurrently across multiple devices, conflicts are resolved automatically using event timestamps (last-write-wins), which may result in some edits being overwritten.
• Deleted items may only be recoverable for a short duration through soft-delete markers. Once permanently removed, they cannot be restored.
• You should keep the App updated and sync regularly. You are responsible for maintaining your own offline backups of vital operational records. We are not liable for data lost due to device damage or app cache clearance before a sync occurs.

09 Fees & Billing

Early Access / Launch Stage: The core features of Linkfloo are currently made available free of charge during our launch and beta phases.

We reserve the right to introduce optional premium features, team seat subscriptions, or specialized modules in the future. Any pricing changes, billing frequencies, and applicable taxes (such as GST) will be communicated well in advance. Continuing to use paid tiers after the notice period signifies your agreement to the updated fees.

10 Intellectual Property Rights

The Services, including the Linkfloo mobile application, the website linkfloo.com, graphic designs, icons, logos, source code, data schemas, and the brand name "Linkfloo" (other than Your Content), are owned by Deepak Yadav and licensors, and are protected under Indian and international intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the App and Website in compliance with these Terms. You may not use our trademark, logo, or proprietary assets without prior written consent.

If you send us feedback, feature ideas, or architectural suggestions, we may implement them freely without any financial or moral obligation to you.

11 Availability & Service Modifications

We strive to keep Linkfloo dependable and fast. However, we do not warrant that the Services will operate completely uninterrupted, bug-free, or without transient server downtime. We may update, patch, modify, or discontinue any feature or component of the Services, providing reasonable notice where feasible.

12 Suspension & Termination

• By You: You may stop using Linkfloo and request the deletion of your account at any time via App Settings or by emailing linkflooteam@gmail.com.
• By Us: We may suspend or terminate your workspace or user access if you breach these Terms, misuse the Services, endanger our systems, or if required to do so by legal authorities.
• Post-Termination: Upon termination, your authorization to use the Services ends immediately. Clauses that by their nature should survive (including ownership, liability limits, disclaimers, indemnity, and governing law) will continue in full effect.

13 Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR REAL ESTATE PURPOSE, DATA ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT OR GUARANTEE THAT USING LINKFLOO WILL LEAD TO SECURING REAL ESTATE LEADS, CLOSING PROPERTY SALES, OR GENERATING COMMISSIONS OR INCOME FOR YOUR AGENCY.

14 Limitation of Liability

To the fullest extent allowed under Indian law:

• We shall not be liable for any indirect, incidental, special, or consequential losses, including lost property commissions, loss of business, prospective leads, goodwill, device failure, or lost data records.
• We are not responsible for losses caused by your content, property disputes, interactions with clients or third-party networks, internet outages, or circumstances beyond our reasonable control.
• Our total cumulative liability for any dispute or claim arising out of or relating to the Services shall not exceed the amount actually paid by you to Linkfloo in the twelve (12) months preceding the claim, or ₹1,000 (Indian Rupees One Thousand) where the Services have been used free of charge.

15 Indemnity

You agree to indemnify, defend, and hold harmless Deepak Yadav, Linkfloo, its team, and affiliates from and against any third-party claims, liabilities, damages, regulatory penalties, and legal expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) Your Content; (c) your misuse of client personal data; or (d) your violation of any statutory law or third-party rights.

16 Governing Law & Disputes

These Terms are governed by and construed under the laws of India.

In the event of any dispute or disagreement, the parties agree to first seek an amicable resolution through good-faith discussions. If unresolved within thirty (30) days, the courts located in Gautam Buddha Nagar (Noida), Uttar Pradesh, India shall hold exclusive territorial and subject-matter jurisdiction to adjudicate any claims.

17 Changes to these Terms

We may update these Terms periodically to reflect product changes, new operational workflows, or regulatory mandates. The "Last updated" date at the top indicates the latest active version. For material modifications, we will provide notice in the App, on the Website, or via email. Continuing to use the Services after revisions indicates your full acceptance of the updated Terms.

18 General Legal Terms

• Entire Agreement: These Terms and our Privacy Policy constitute the entire understanding between you and Linkfloo concerning the Services.
• Severability: If any provision is deemed invalid or unenforceable, that specific clause will be enforced to the maximum extent permissible, and the remaining provisions will stay in full force.
• No Waiver: Our delay or failure to exercise any right under these Terms shall not be construed as a waiver of that right.
• Assignment: You may not transfer or assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a corporate restructuring or business sale.
• Electronic Contract: These Terms constitute an electronic record in accordance with the Information Technology Act, 2000 and applicable rules, requiring no physical, digital, or cryptographic signature.
